We are looking for a dynamic, and talented M&A and Commercial Senior Counsel to join our team specializing in mergers and acquisitions legal matters for our Filtration business headquartered in Nashville, TN. This role allows you to work from your home office (within certain states; AK, AR, CT, DC, DE, HI, LA, MD, MS, ND, NV, OK, VA, VT and SC ) and requires less than 10% overall travel.
Company's Filtration is a global technology leader that designs, manufactures, and sells air, fuel, hydraulic and lube filtration, as well as chemical technology products for diesel and gas-powered equipment around the world. As M&A and Commercial Senior Counsel, you will provide legal advice on a variety of complex legal matters in support of the Filtration business including acquisitions, joint ventures, and reorganizations.

In this role, the M&A and Commercial Senior Counsel will make an impact in the following ways:

  • Responsible for handling a variety of complex legal matters working within a specific business, region, or function
  • Handles significant risk and/or complex legal questions and projects; negotiates legal matters within the individual realm of responsibility
  • Conducts legal projects independently
  • Acts as the organizational leader in one or more legal area proficiencies; combines a knowledge of one or more legal specialties with sound business acumen and knowledge of the business goals and objectives; is a valued member of the business team and provides useful legal advice and alternative solutions
  • Identifies and drives development of legal strategies for business; manages client expectations to balance requirements and competing priorities; provides useful legal advice and alternative solutions
  • Has a significant impact on the organization's goals and influence in colleagues' actions to mitigate risks; understands the business context in which the colleague operates with complete consideration of the Company objectives; identifies and drives development of legal strategies for business
  • May train and supervise attorneys, paralegals, and consultants; may be involved in hiring, developing, and retaining talent within the Legal function
  • Ensures efficient and timely communication with coworkers, clients, and team members; demonstrates recognized leadership and values of the company

Education, Licenses, Certifications

  • Degree in law
  • License to practice law in home jurisdiction

Experience

  • Significant relevant experience required, including supervisory experience.
  • Responsible for handling a variety of complex legal matters in support of the Filtration business including acquisitions, joint ventures, and reorganizations, working closely with the most senior members of the legal function and corporate executives.
  • Responsible for managing, and working independently to support, complex transactions from inception through integration, including partnering with business and functional leaders in the identification of acquisition, joint venture, or divestiture targets, drafting and negotiating all relevant commercial agreements, such as non-disclosure agreements, letters of intent, joint venture agreements, purchase agreements, and all related ancillary documents.
  • A wide range of responsibilities in the areas of corporate transactions, commercial contracting, and general business counseling. Negotiate and draft purchase and supply agreements, support agreements, nondisclosure agreements, long term sales agreements and other commercial contracts.
  • Acts as an organizational leader in M&A, commercial and other corporate law matters and combines knowledge of these legal specialties with sound business acumen and knowledge of the business goals and objectives.
  • Conducts project and legal matter management independently; consistently exercises sound independent judgment. Identifies and drives development of legal strategies for the Company; manages client expectations to balance requirements and competing priorities; provides useful legal advice and alternative solutions.
  • Responsible for training business and functional colleagues on best practices in Commercial Transactions, M&A, and related practice areas.
  • Familiarity with cross-border M&A and a general understanding of, and ability to, identify issues with respect to antitrust laws.
  • Will train and supervise attorneys, paralegals, and consultants; may be involved in hiring, developing, and retaining talent within the Legal function

Compensation and Benefits
Base salary rate commensurate with experience. Additional benefits vary between locations and include options such as our 401(k) Retirement Savings Plan, Cash Balance Pension Plan, Medical/Dental/Life Insurance, Health Savings Account, Domestic Partners Coverage, and a full complement of personal and professional benefits.

Pay: Up to $147.50 per hour
